This COMMON STOCK PURCHASE AGREEMENT, made and entered into on this 20th day of June 2012 (this “Agreement”), by and between Glengrove Small Cap Value, Ltd., a business company incorporated under the laws of the British Virgin Islands (the “Investor”), and Santa Fe Gold Corporation, a corporation organized and existing under the laws of the State of Delaware (the “Company”). Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in Annex A hereto.
