This Consulting Services Agreement ("Agreement") is made as of January 1, 2006, by and between Maguire Properties, L.P., a Maryland limited partnership and Maguire Properties, Inc., a Maryland corporation (collectively, "Company") and Richard I. Gilchrist ("Consultant"). Company and Consultant are sometimes collectively referred to herein as the "Parties" and individually as a "Party," and Company and its affiliates are sometimes referred to herein collectively as the "Company."
