AMENDMENT AND RESTATEMENT AGREEMENT dated as of October 16, 2019 (this “Amendment and Restatement Agreement”) by and among Tempur Sealy International, Inc., a Delaware corporation (the “Parent Borrower”), Tempur-Pedic Management, LLC, a Delaware limited liability company, as an Additional Borrower , the Subsidiary Guarantors party hereto, each Lender party hereto, JPMorgan Chase Bank, N.A. (“JPMorgan”), as Administrative Agent (in such capacity, the “Administrative Agent”), Swingline Lender and Issuing Lender, and Bank of America, N.A., Fifth Third Bank and Wells Fargo Bank, N.A., as Issuing Lenders.
