AGREEMENT dated April, 2005 between FARM TECH CORPORATION (“Seller”), a Delaware corporation with an office at 765 Old Saw Mill River Road, Tarrytown, NY 10591; and WINSTANLEY ENTERPRISES LLC, a Delaware limited liability company with an office c/o Adam D. Winstanley, 150 Baker Avenue Extension, Suite 303, Concord, Massachusetts 01742, or its designee (“Buyer”).
