THIS AGREEMENT, is made by and between KEVIN C. EICHNER (the “Executive”) and ENTERPRISE FINANCIAL SERVICES CORP, a Delaware corporation (the “Company”), on this 14th day of November, 2005 but shall be effective as of July 1, 2005 (the “Effective Date”).
