THIS AGREEMENT (the “Agreement”), dated as of May 28, 2010, replaces in its entirety that original employment agreement, dated August 25, 2006, as amended and restated April 25, 2008 (the “Prior Agreement”), by and between THE CLOROX COMPANY, a Delaware corporation (the “Company”), and Donald R. Knauss (the “Executive”).
