This Amendment (“Amendment”) is made as of the 1st day of January, 2014, by and between each investment company listed on the signature page hereto (referred to herein individually as a “Fund” and collectively, as the “Funds”) and THE BANK OF NEW YORK MELLON (formerly, Mellon Bank, N.A.) THIS DEPOSITARY AGREEMENT, dated as of May 21, 2015 (the “Effective Date”), is by and between Delaware Investments Dividend and Income Fund, Inc., a Maryland corporation (“Purchaser”), having its principal office and place of business at 2005 Market Street, Philadelphia, PA 19103, and Computershare Inc., a Delaware corporation (“Computershare”), and its wholly owned subsidiary Computershare Trust Company, N.A., a federally chartered trust company (“Trust Company”, and together with Computershare, “Agent”), each having a principal office and place of business at 250 Royall Street, Canton, Massachusetts 02021.
