This Purchase and Option Agreement (this “Agreement”) is entered into on September 15, 2017 by and among Meritor Heavy Vehicle Systems, LLC, a Delaware limited liability company (“Seller”), WABCO Vehicle Control Systems LLC, a Delaware limited liability company (“Buyer”), and Meritor WABCO Vehicle Control Systems, a Delaware general partnership (the “Partnership”). Seller, Buyer, and the Partnership are referred to collectively herein as the “Parties” and individually as a “Party.” WABCO Holdings Inc., the ultimate parent company of Buyer (“Buyer Parent”), is a party to this Agreement solely for the purposes of Sections 4.10 and 11.16, below.
