THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of July 12, 2023, by and among TRANSCAT, INC., an Ohio corporation (“Parent”), STERIQUAL LLC, a Delaware limited liability company (“Merger Sub”), STERIQUAL LLC, a Florida limited liability company (the “Company”), and JAMES R. BAKER (“Member”). Parent, Merger Sub, the Company and Member are referred to herein, individually, as a “Party” and together as the “Parties”.
