THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of August 8, 2023, by and among TRANSCAT, INC., an Ohio corporation (“Parent”), AXIOM TEST EQUIPMENT, LLC, a Delaware limited liability company (“Merger Sub”), AXIOM TEST EQUIPMENT, INC., a California corporation (the “Company”), and GARY F. SHILTS, Trustee of the Shilts Family 2008 Trust, DTD 5/6/2008 (the “Shilts Trust”), JOSHUA SHILTS, an individual, SHANNON JOHNSON, Trustee of the Shannon and Gloria Johnson Living Trust (the “Johnson Trust”), and LAVON M.
