Bayshore Drive, Suite 450, Miami, Florida 33133 (hereinafter “Abakan”), and MesoCoat, Inc., 24112 Rockwell Drive, Euclid, Ohio 44117 USA (hereinafter “MesoCoat”), and Powdermet, Inc., 24112 Rockwell Drive, Euclid, Ohio 44117 USA (hereinafter “Powdermet”) all of the above parties herein collectively referred to as the “Parties” or singularly as a “Party.
