SHARE EXCHANGE AGREEMENT, dated as of May 7, 2010 (this “Agreement”) by and among TouchIT Technologies, an Istanbul, Turkey corporation (“TouchIT Tech”), the stockholders of TouchIT Tech as set forth on Schedule I hereto (the “TouchIT Tech Shareholders”), TouchIT Education, an Istanbul, Turkey corporation (“TouchIT Ed”), the stockholders of TouchIT ed as set forth on Schedule II hereto (the “TouchIT Ed Shareholders”), Hotel Management Systems, Inc., a Nevada corporation (“HMSM”), and a majority of the stockholders of HMSM set forth on Schedule III hereto (the “HMSM Controlling Stockholders”).
