This SHARE EXCHANGE AGREEMENT, dated as of February 11, 2011, is made by and among GSP-2, Inc., a corporation organized under the laws of Nevada (the “Acquiror”), Peter Goldstein (the “Acquiror Principal Shareholder”), Shiny Gold Holdings Limited, a limited company organized under the laws of the British Virgin Islands (the “Acquiree”), and each of the Persons listed on Schedule I hereto who are shareholders of the Acquiree (collectively, the “Acquiree Shareholders,” and individually an “Acquiree Shareholder”).
