This Second Amendment (“Second Amendment”) to the Supply and Distribution Agreement, dated November 19, 2009, between Cardinal Health 200, LLC (“Cardinal Health”) and Patient Safety Technologies, Inc. (“Supplier”), as modified by the First Amendment (dated March 1, 2011) and subsequent written correspondence dated December 8, 2011 and March 3, 2012 (collectively, “the Agreement”), is entered into by and between Supplier and Cardinal Health to modify the terms of the existing Agreement. The effective date of this Second Amendment shall be January 1, 2013 (“Second Amendment Effective Date” or “Effective Date”).
