THIS NOTE PURCHASE AGREEMENT (“Agreement”) is made as of August 28, 2012, by and among Discount Coupons Corporation, a Florida corporation (“Company”), whose address is 5584 Rio Vista Dr., Clearwater, Florida 33760 and each of the lenders (each individually a “Lender,” and collectively the “Lenders”) executing a counterpart copy of this Agreement. Capitalized terms not otherwise defined in this Agreement shall have the meanings ascribed to them in Section 1 below.
