This STOCK OPTION CANCELLATION AGREEMENT (this “Agreement”) is dated as of April __, 2014 (the “Effective Date”) and is entered into by Ener-Core, Inc., a Nevada corporation (the “Company”), and ___________________ (the “Optionee”).
