THIS SHARE EXCHANGE AGREEMENT (hereinafter referred to as this "Agreement") is entered into as of this 15 day of August, 2015 by and between Pleasant Kids, Inc., a Florida corporation, and its Shareholders (hereinafter together with its subsidiaries referred to as “PLKD”) and Next Group Holdings, Inc., a Florida corporation (“NGH”), which owns Next CALA, Inc. (94%); Meimoun & Mammon, LLC (100%); NxtGn, Inc.
