This Employment Agreement (this “Agreement”), dated as of May 4, 2016 (the “Effective Date”), is made by and between Natural Habitat, Inc., a Colorado corporation (together with any successor thereto, the “Company”), Ben Bressler (“Executive”) and Lindblad Expeditions Holdings, Inc., a Delaware corporation (“Parent”) (collectively Executive, the Company and Parent are referred to herein as the “Parties”).

This Stock Purchase Agreement, dated as of May 4, 2016 (this “Agreement”), is by and among (i) Lindblad Expeditions, LLC, a Delaware limited liability company (“Purchaser”); (ii) Gaiam Travel, Inc., a Colorado corporation (“Gaiam Travel”); (iii) Ben Bressler, an individual (“Bressler” and together with Gaiam Travel, each, a “Seller” and collectively, “Sellers”); (iv) Gaiam, Inc., a Colorado corporation (“Gaiam Travel Parent”), solely for purposes of Section 6.02, Section 6.03, Section 6.05, Section 6.06, Section 6.07, Section 6.08, Section 6.09, Article VII and Article VIII; and (v) Lindblad Expeditions Holdings, Inc., a Delaware corporation (“Purchaser Parent”), solely for purposes of Section 6.02, Section 6.06(h) and Article VIII.
