THIS SHARE EXCHANGE AGREEMENT (“Agreement”) is made and entered into this 13th day of December, 2016 (the “Agreement Date”), by and between Ominto, Inc. (“Ominto”); and Lani Pixels A/S (“Lani Pixels”). Ominto and Lani Pixels are sometimes referred to individually as a “Party” and collectively as the “Parties”.
