THIS AGREEMENT AND PLAN OF MERGER (“Agreement”) is entered into this 27th day of February, 2017, by and between Sysorex Global, a Nevada corporation (the “Parent Company”), and Inpixon, a Nevada corporation (the “Subsidiary Company”).
