THIS PRIVATE PLACEMENT SUBSCRIPTION AGREEMENT (the “Agreement”) is made this 21st day of November, 2017, among (i) Fuqin Fintech Limited (the "Company"), a Cayman Islands limited liability company, and (ii) each purchaser identified on the signature pages to this Agreement (each a “Purchaser” and collectively, the “Purchasers”). This Agreement is made solely to formalize certain investment by the Purchasers into the Company prior to the date hereof.

According to the “Labor Law of the People’s Republic of China”, “Labor Contract Law of the People’s Republic of China” and relevant laws and regulations, both parties agree to sign this contract by consensus and voluntarily and voluntarily and comply with the terms set out in this contract.
