This AGREEMENT between SB Financial Group, Inc. (the “Company”) and Jonathan R. Gathman is effective as of the 22nd day of January, 2018 (the “Effective Date”). This Agreement replaces the Rurban Financial Corp. Change of Control Agreement for Jonathan R. Gathman dated April 30, 2012 (the “COC Agreement”).

This 2017 Split Dollar Agreement and Endorsement (this “Agreement”) is entered into as of this 22nd day of January, 2018 by and between The State Bank and Trust Company, an Ohio-chartered bank (the “Bank”), and Mark A. Klein, Chief Executive Officer of the Bank (the “Executive”). This Agreement shall append the Split Dollar Policy Endorsement entered into on even date herewith or as subsequently amended, by and between the aforementioned parties.

Effective as of the Restatement Effective Date, the Company and the Executive hereby amend and restate this Agreement in its entirety, as set forth herein.
