This Amendment to Judgment Settlement Agreement (this “Amendment”) is entered into as of February 5, 2019 (the “Effective Date”), by and between John M. Fife, an individual (“Lender”), and MPhase Technologies, Inc., a New Jersey corporation (“Borrower”). Capitalized terms used in this Amendment without definition shall have the meanings given to them in the Settlement Agreement (as defined below).
