Reference is made to that certain Commitment Letter dated as of December 12, 2018 (the “Commitment Letter”) among One Madison Corporation (“you”), the Commitment Parties party thereto (the “Commitment Parties”) and Goldman Sachs Lending Partners LLC (the “Agent”). Capitalized terms used but not defined herein have the meanings assigned to them in the Commitment Letter.

WHEREAS, pursuant to that certain Stock Purchase Agreement, dated as of December 12, 2018 (as amended from time to time, the “Stock Purchase Agreement”), by and among the Company, Rack Holdings L.P., a Delaware limited partnership, and Rack Holdings Inc., a Delaware corporation (“Rack Holdings”), the Company acquired all of the outstanding equity interests of Rack Holdings, on the terms and subject to the conditions set forth in the Stock Purchase Agreement;
