THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of April 11, 2019 by NF ENERGY SAVING CORPORATION, a Delaware corporation (“Buyer”) LASTING WISDOM HOLDINGS LIMITED, a company organized under the laws of the British Virgin Islands (“Parent”), PUKUNG LIMITED, a company organized under the laws of Hong Kong (“HoldCo”), BEIJING XIN RONG XIN INDUSTRIAL DEVELOPMENT CO., LTD., a company organized under the laws of the PRC (“WFOE”), BOQI ZHENGJI PHARMACY CHAIN CO., LTD. a company organized under the laws of the PRC (the “Company”) and the selling shareholders listed on Schedule 1 hereto (the “Sellers” and, collectively with Parent, HoldCo, WFOE and the Company, the “Seller Parties”).
