This Restricted Stock Award Agreement (the “Agreement”) is made and entered into as of , (the “Effective Date”) by and between OriginClear, Inc., a Nevada corporation (the “Company”), and the person named below (the “Grantee”).

Subscription Agreement between the Company, and purchaser identified on the signature page to this Agreement (the “Subscriber”), and is being delivered to the Subscriber in connection with its investment in OriginClear, Inc., a Nevada corporation (the “Company”). The Company is conducting a private placement (the “Offering”) for an amount of up to $4,000,000 of Units, each Unit consisting of (i) 100 shares (the “Series K Preferred Shares”) of the Company’s newly created Series K Preferred Stock, having the rights set forth the Certificate of Designation of Series K Preferred Stock substantially in the form of Exhibit A hereto (the “Series K Certificate of Designation”), and (ii) such number of shares of newly created Series L Preferred Stock, substantially in the form of Exhibit B hereto (the “Series L Certificate of Designation”) equal to the number that, if such Series L Preferred Shares were converted to common stock, the number of shares of common stock issuable upon such conversio
