In connection with the contemplated business combination (the “Transaction”) among Greenland Acquisition Corporation, a British Virgin Islands company (the “Company”), and Zhongchai Holding (Hong Kong) Limited, a Hong Kong company, a company organized under the laws of Hong Kong (“Target”), and certain other parties, which Transaction will be consummated in accordance with a securities exchange agreement entered into among the Company, the Target and certain other parties, dated July 15, 2019 (the “Transaction Agreement”), the Company is seeking commitments to purchase the Company’s ordinary shares, no par value (the “Shares”), for a purchase price of $10.25 per Share (the “Purchase Price”).
