This Definitive Share Exchange Agreement (“Agreement”), dated as of September 30, 2019, is among Shengshi International Holdings Co., Ltd. (“SHENGSHI”), a Cayman Islands corporation located at No.12, Yingtai Road, Dalang Street, Longhua District, ShenZhen, China, the shareholders of SHENGSHI listed on Exhibit A attached hereto (collectively, the “Shareholders”), Shengshi Elevator International Holding Group Inc. (“SSDT”), located at No.12, Yingtai Road, Dalang Street, Longhua District, ShenZhen, China, and Jun Chen, the majority shareholder of SSDT (“Chen”).
