This Second Amendment to Rights Agreement (this “Amendment”) is made effective as of the 14th day of February, 2020. This Amendment is an amendment to the Rights Agreement, dated as of February 15, 2018 (the “2018 Rights Agreement”), between Luby’s, Inc., a Delaware corporation (the “Company”), and American Stock Transfer & Trust Company, LLC (the “Rights Agent”), as amended by that certain First Amendment to Rights Agreement, dated as of February 11, 2019 (the “First Amendment”, and together with the 2018 Rights Agreement, the “Rights Agreement”). The Company and the Rights Agent are collectively referred to as the “Parties.” Capitalized terms used and not otherwise defined herein have the meanings ascribed to them in the Rights Agreement.
