This Lock-Up Agreement (this “Agreement”) is being delivered to Univest Securities, LLC (the “Representative” in connection with the proposed Underwriting Agreement (the “Underwriting Agreement”) between Happiness Biotech Group Limited, a Cayman Islands company (the “Company”), and the Representative, as the representative of the several underwriters listed in Schedule A thereto (the “Underwriters”), relating to the proposed public offering (the “Offering”) of ordinary shares, par value $0.0005 per share (the “Ordinary Shares”), of the Company.
