THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) dated as of April 8, 2020, is entered into by and among Sharing Economy International Inc., a Nevada corporation (“Sharing Economy”), and OOB HK Media HK Limited, a Hong Kong corporation (“OOB HK HK”), and the shareholders of OOB HK listed on Annex A to this Agreement (each, a “Shareholder” and, collectively, the “Shareholders”).
