This RIGHT TO SHARES AND WAIVER AGREEMENT, dated as of July 24, 2020 (this “Agreement”) constitutes an agreement between GI Dynamics, Inc., a Delaware corporation (the “Company”), and Crystal Amber Fund Limited (the “Holder”).
