This Share Purchase Agreement (this “Agreement”) is made and entered into as of August 3, 2020 by and between Hantu (Hangzhou) Asset Management Co., Ltd. (the “Purchaser”), a PRC limited liability company and SOS Limited (the “Seller”), a Cayman Islands exempt company. The Purchaser and the Seller are sometimes referred to herein individually as a “Party” and, collectively, as the “Parties.”
