This Agreement is being signed on August 7, 2020 (the “Execution Date”). This Agreement will become effective as of August 7, 2020 (the “Effective Date”).

Capitalized terms used herein and not defined shall have the meanings ascribed to them in the Assignment Agreement to which this Novation is attached and therein incorporated.
