WHEREAS, this Trust is a Delaware statutory trust formed pursuant to a Certificate of Trust filed with the Secretary of the State of Delaware on June 11, 2020, as amended by the Certificate of Amendment filed with the Secretary of the State of Delaware on August 18, 2020, and the entering into of a Declaration of Trust, dated as of June 11, 2020 (which Declaration of Trust is hereby amended and restated in its entirety);

THIS AGREEMENT is made as of ____________, 2020, between Flat Rock Core Income Fund, a Delaware statutory trust (the “Fund”), and ALPS Distributors, Inc., a Colorado corporation (“ALPS”).
