THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of December 14, 2020 by and among BOQI International Medical Inc., a company organized under the laws of the state of Delaware (“Buyer”), Chongqing Cogmer Biology Technology Co., Ltd., a company organized under the laws of the PRC (the “Company”) and the selling shareholders listed on Schedule 1 hereto ( “Sellers”).
