THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of January 14, 2021, is by and between DRAGON VICTORY INTERNATIONAL LIMITED, a Cayman Islands company (the “Company”), and YA II PN, Ltd., a Cayman Islands exempt limited partnership (the “Investor”).

THIS SECURITIES PURCHASE AGREEMENT (this “Agreement”), dated as of January 14, 2021, is between DRAGON VICTORY INTERNATIONAL LIMITED, a company incorporated under the laws of the Cayman Islands, with principal executive offices located at Room 1803, Yintai International Building, Kejiguan Road, Binjiang District, Hangzhou, Zhejiang Province, China (the “Company”), and each of the investors listed on the Schedule of Buyers attached hereto (individually, a “Buyer” and collectively the “Buyers”).
