THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of March 11, 2021, by and among Adial Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and [ ] (the “Purchaser”). This Agreement is made pursuant to the Stock Purchase Agreement, dated as of the date hereof, by and among the Company and the Buyer (the “Purchase Agreement”).

This Stock Purchase Agreement (together with all exhibits and schedules hereto, this “Agreement”) is entered into as of March 11, 2021, by and between Adial Pharmaceuticals, Inc., a Delaware corporation (the “Company”), and [ ], a Delaware corporation (the “Buyer”). The Company and Buyer may be collectively referred to herein as the “Parties” and individually as a “Party.”
