This is to certify that, for value received, ____________, with an address of _______________________ (the “Holder”), shall have the right to purchase from snow lake resources ltd. (the “Corporation”), at any time and from time to time up to 5:00 p.m. (Toronto time) on the earlier of (i) five years after the date hereof and (ii) two years from the completion of a Liquidity Transaction (as defined herein) (the “Expiry Time”), one fully paid and non-assessable common share in the capital of the Corporation for each Warrant (individually, a “Warrant”) represented hereby at a price of Cdn$0.30 per share (the “Exercise Price”), upon and subject to the terms and conditions set forth herein.
