This Stock Purchase Agreement (this “Agreement”) is made and entered into as of April 13,2021, by and among Telecom Assets Corp., a Delaware corporation (the “Seller”); Secure Voice Corp. (the “Company” or “SVC”), Spectrum Global Solutions, Inc., a Nevada corporation (“Buyer”) and SVC, Inc., a Nevada corporation (“Merger Sub”). Buyer, Merger Sub, the Seller and the Company are each a “Party” to this Agreement and are sometimes referred to hereinafter collectively as the “Parties.”
