This Escrow Services Agreement (this “Agreement”) is made and entered into as of June 18, 2021 by and between Prime Trust, LLC (“Prime Trust” or “Escrow Agent”), Life Spectacular, Inc. (the “Issuer”) and Dalmore Group LLC (the “Broker”).

This agreement (together with exhibits and schedules, the “Agreement”) is entered into by and between Life Spectacular, Inc. (“Client”), a Delaware Corporation, and Dalmore Group, LLC., a New York Limited Liability Company (“Dalmore”).
