This Stock Purchase Agreement (this “Agreement”), dated as of July 20, 2021 is entered into among WHE Agency, Inc., a Delaware corporation (“WHE” or the “Company”), Peace Love Yoga Foundation, Inc., a California private charitable corporation (“PLYF”), and Tracy Willis, an individual and resident of Washington (“Willis”) (together, “Sellers”), and Creatd Partners, LLC, a Delaware limited liability company (“Buyer”). Capitalized terms used in this Agreement have the meanings given to such terms herein.
