This DEALERSHIP ASSET PURCHASE AGREEMENT (this “Agreement”) is effective as of the date Greenberg Traurig, P.A.(“Escrow Agent”) executes the escrow receipt on the last page hereto (the “Effective Date”), and is among LMP Greeneville CDJR, LLC, a Tennesee limited liability company or its assigns (“Buyer”), J. Chantz Scott, a resident of Tennessee (collectively, “Principal”), and Blue Sky Automotive, Inc. , a Tennessee corporation (“Seller”; and together with Buyer and Principal, each a “Party” and, collectively, the “Parties”).
