(the “Purchaser”), a limited liability company registered in the People’s Republic of China, and (iii) Yongsheng Chen (the “Seller”), the shareholder of the Jilin Chuangyuan Chemical Co., Ltd., a limited liability company registered in the People’s Republic of China (the “Company”). The Parent, the Purchaser and the Seller are sometimes referred to herein individually as a “Party” and, collectively, as the “Parties”.
