This EMPLOYMENT AGREEMENT (the “Agreement”), is entered into as of ___________, 2021, by and between Cordyceps Sunshine Biotech Holdings Co., Ltd., a Cayman Islands corporation (the “Company”), and ____________, an individual (the “Executive”). Except with respect to the direct employment of the Executive by the Company, the term “Company” as used herein with respect to all obligations of the Executive hereunder shall be deemed to include the Company and all of its subsidiaries and affiliated entities (collectively, the “Group”).

Licensor is the legal and exclusive applicant for and approved owner of the licensed patent as stated in the annex to this agreement, and Licensor desires to license to Licensee and Licensee desires to obtain from Licensor the rights to apply for and implement the licensed patent under the terms and conditions hereunder.
