This REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of December __, 2021, is by and among American Virtual Cloud Technologies, Inc., a Delaware corporation with offices located at 1720 Peachtree Street, Suite 629, Atlanta, Georgia 30309 (the “Company”), and the undersigned buyers (each, a “Buyer,” and collectively, the “Buyers”).
