This Share Purchase Agreement (this “Agreement”) is made and entered into as of February 11, 2022 by and among (i) Planet Green Holdings Corporation, a corporation incorporated in the State of Nevada (the “Parent”), (ii) Jiayi Technologies (Xianning) Co., Ltd. (the “Purchaser”), a limited liability company registered in the People’s Republic of China, and (iii) Xiaodong Cai (the “Seller”), the shareholder of the Anhui Ansheng Petrochemical Equipment Co., Ltd., a limited liability company registered in the People’s Republic of China (the “Company”). The Parent, the Purchaser and the Seller are sometimes referred to herein individually as a “Party” and, collectively, as the “Parties”.
