This Share Purchase Agreement (this "Agreement"), dated as of April 14, 2022, is entered into among Shanghai Yuanma Food and Beverage Management Co., Ltd., a PRC limited liability company (the “Target”), the sellers listed in Exhibit A (each a “Seller,” and collectively the “Sellers”) and Code Chain New Continent Limited, a company incorporated under the laws of the State of Nevada (“CCNC” or the “Buyer”). Capitalized terms used in this Agreement have the meanings given to such terms herein.
