This Second Consultancy Agreement (the “Second Agreement”), effective immediately following the termination on August 19, 2022 (“Effective Date”) of the current Amended and Restated Consultancy Agreement (the “First Agreement”), sets forth the terms of the continuing engagement of Bennett Nussbaum as Interim Chief Financial Officer (“CFO”) to be transitioned to Chief Transformation Officer (“CTO”, CFO and CTO together or separately also known as “Executive”) with Purple Innovation, Inc. and its subsidiaries (the “Company”).
