THIS MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”) is entered into and effective as of September 9, 2022 (the “Effective Date”), by and among Fieldpoint Private Securities, LLC (the “Company”), a Connecticut limited liability company and a wholly-owned subsidiary of Fieldpoint Private Bank & Trust, a Connecticut bank (the “Seller”), and Dominari Financial Inc., a Delaware corporation (hereinafter referred to as “Purchaser”). The Company, the Seller and Purchaser are collectively the “Parties.”
